New edition of Directors’ Duties published
Professor Andrew Keay has just had the third edition of his book, Directors’ Duties published by LexisNexis.
The book provides an analysis of the general duties of directors contained in the Companies Act 2006 as well as an examination of derivative actions, ratification of breaches of duty and remedies that are available for breach of duty.
The new edition seeks to address case law and other developments as well as including some discussion of recent academic scholarship. It provides an examination of critical corporate law cases such as the UK Supreme Court decisions in Williams v Central Nigeria Bank, Eclairs Group Ltd v JKX Oil & Gas plc, AIB Group (GB) v Redler and FHR European Ventures LLP v Cedar Capital Partners LLC the Privy Council decision in Central Bank of Ecuador v Conticorp SA as well as Court of Appeal decisions in Burnden Holdings (UK) Ltd v Fielding, Goldtrail Travel Ltd v Aydin, Novoship (UK) Ltd v Nikitin and Smithton Ltd v Naggar.
The book also includes a consideration of several important Commonwealth cases, such as the Australian Federal Court’s decision in ASIC v Mariner and the New Zealand Court of Appeal’s judgment in Morgenstern v Jeffreys.
